These terms govern all purchases from Oxian Labs (“Oxian Labs,” “we,” “us”) through oxianlabs.com. By placing an order you agree to them.

1. Research use only
All products are sold as laboratory reagents for in-vitro research and analytical use by qualified professionals. They are not drugs, foods, dietary supplements, cosmetics, or medical devices. They are not approved by the FDA for the diagnosis, treatment, cure, or prevention of any condition. They are not for human or veterinary consumption or administration, and nothing on this site constitutes a therapeutic claim or medical guidance.
2. Buyer qualification and representations
By placing an order, the buyer represents and warrants that: (a) the buyer is at least 21 years of age; (b) the buyer is a qualified purchaser acquiring the products for legitimate in-vitro research or analytical use, and not for personal use or resale to consumers; (c) the buyer has the training, facilities, and procedures necessary to handle, store, and dispose of laboratory reagents safely; and (d) the buyer will comply with all applicable federal, state, local, and international law governing the products.
We reserve the right to request verification of research affiliation and to refuse or cancel any order at our sole discretion.
3. Orders, pricing, and payment
Prices are in US dollars and subject to change without notice. An order confirmation is an acknowledgement of receipt, not an acceptance; a contract of sale forms when the order ships. We may correct pricing or description errors and cancel affected orders with a full refund.
Net-30 terms are available only to accounts we have verified and approved in writing. Overdue balances may accrue interest at the maximum rate permitted by applicable law and may result in suspension of the account.
4. Certificates of analysis
Certificates published in the COA Library report the results of testing performed on a sample of the identified lot by an independent testing laboratory. Results relate only to the sample tested. Certificates do not cover any parameter not expressly listed on their face, including, unless stated, endotoxins, sterility, microbial contamination, and particulate matter. Buyer is responsible for confirming that the tested parameters meet the requirements of buyer’s intended application.
5. Limited warranty
We warrant that at the time of shipment the product conforms to the identity, purity, and potency stated on the certificate of analysis for the shipped lot. This is the sole warranty we give. Except as expressly stated in this section, all products are provided “as is,” and we disclaim all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.
The warranty does not apply to material that has been opened, reconstituted, stored outside the conditions on the certificate, mishandled, or held beyond any stated retest date.
6. Exclusive remedy
For any product that fails the limited warranty above, buyer’s exclusive remedy, at our option, is replacement of the product or refund of the purchase price paid for it. Claims must be made within the reporting window in our Shipping & Returns policy.
7. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to any product or these terms will not exceed the amount paid for the specific product giving rise to the claim. We will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, or loss of research results, even if advised of the possibility.
8. Assumption of risk and indemnification
Buyer assumes all risk arising from receipt, handling, storage, use, and disposal of the products. Buyer agrees to indemnify, defend, and hold harmless Oxian Labs and its officers, employees, and agents against any claim, loss, damage, liability, or expense (including reasonable attorneys’ fees) arising from buyer’s use, misuse, resale, or handling of the products, or from buyer’s breach of these terms, including in particular any administration of the products to a human or animal.
9. Resale
Products may not be resold, relabeled, repackaged, or redistributed for human or veterinary use under any circumstances. Buyer reselling to another qualified research purchaser must pass these restrictions through in full.
10. Shipping, title, and risk of loss
Title and risk of loss pass to the buyer on delivery to the carrier. Delivery estimates are not guarantees. See Shipping & Returns.
11. Force majeure
We are not liable for delay or failure to perform due to causes beyond our reasonable control, including supply interruption, carrier disruption, regulatory action, natural events, or labor disputes.
12. Governing law and disputes
These terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles.

13. Changes
We may update these terms. The version in effect at the time your order is placed governs that order.
